Welcome to Remote Aces! These Terms of Service (“Terms”) govern your use of our virtual assistant services (“Services”) provided by Remote Aces (“RemoteAces,” “we,” “us,” or “our”). By engaging our Services, you (“you” or “Client”) agree to be bound by these Terms.

1. Service Description

Remote Aces provides access to highly skilled, bilingual virtual assistants from Colombia. Our Services include, but are not limited to, Personal Assistants, Executive Assistants, Administrative Assistants, and Legal Assistants, all trained in AI and productivity tools.

2. Service Terms and Payments

  • Subscription Plans: We offer monthly subscription plans for full-time (40 hours/week) and part-time (20 hours/week) virtual assistants, as well as specialized roles like Personal, Executive, Administrative, and Paralegal Assistants.
  • Pricing: Pricing is as outlined on our website and may be subject to change with prior notice.
  • Payment: Payment is due monthly in advance. You authorize Remote Aces to charge your provided payment method for all fees.
  • Invoicing: Invoices will be provided electronically.
  • Late Payments: Payments not received within 5 days of the due date may incur a late fee of 10% of the outstanding balance or $99, whichever is lower, and may result in service suspension..

3. Service Commencement and Duration

Services commence upon successful payment and agreed-upon start date. Subscriptions are on a month-to-month basis, providing flexibility.

4. Cancellation and Termination

  • Cancellation Policy: You may cancel your subscription at any time. However, to avoid penalties, you must provide written notice of cancellation via email to contact@overeasyoffice.com at least 15 days before your next billing date.
  • Penalty for Late Cancellation: If cancellation notice is received less than 15 days before the next billing date, you will be charged for the following month’s service.
  • Termination by Remote Aces: We reserve the right to terminate Services for any reason, including but not limited to breach of these Terms, with 15 days’ written notice. We may terminate Services immediately in cases of severe breach.
  • Refunds: There are no refunds for unused portions of a subscription period.

5. Virtual Assistant Management and Communication

  • Onboarding: We handle the onboarding and initial training of your virtual assistant.
  • Communication: You may communicate with your virtual assistant through your preferred communication channels, including email, chat, and video conferencing.
  • Project Management Platform: We provide access to our project management platform for task assignment and progress tracking.
  • Monitoring: We oversee the performance of our virtual assistants to ensure quality and efficiency.

6. Confidentiality and Data Security

  • Confidentiality: We maintain strict confidentiality regarding your business information.
  • Data Security: We implement security measures to protect your data.

7. Non-Solicitation

  • During the term of your engagement and for one year thereafter, you agree not to solicit or hire any RemoteAces employee or contractor without our express written consent. Any breach of this will result in immediate termination of services and a penalty fee of $10,000 to compensate for the time, resources, and specialized training invested in our virtual assistants.

8. Intellectual Property

  • Any intellectual property created by your virtual assistant within the scope of their work belongs to you.

9. Disclaimers and Limitation of Liability

  • “As Is” Service: Our Services are provided “as is” and “as available.” We make no warranties, express or implied.
  • Limitation of Liability: Remote Aces shall not be liable for any indirect, incidental, consequential, or punitive damages. Our total liability is limited to the amount paid by you for the Services in the preceding month.
  • No guarantees: While we vet our assistants carefully, we cannot fully gaurantee the performance of any individual assistant.

10. Indemnification

  • You agree to indemnify and hold Remote Aces harmless from any claims arising from your use of our Services or breach of these Terms.

11. Governing Law and Dispute Resolution

  • These Terms are governed by the laws of Delaware.
  • Any disputes shall be resolved 1 through [Your Dispute Resolution Method, e.g., arbitration or court].

12. Changes to Terms

  • We reserve the right to modify these Terms at any time with 30 days’ written notice.

14. Hours of Operation

  • Our general hours of operation are Monday – Friday.
  • Holiday closures will be communicated in advance.

15. AI and Tool Usage.

  • Remote Aces assistants are trained in the use of AI tools to increase productivity. You consent to the use of these tools during the service.

By engaging Remote Aces, you acknowledge that you have read, understood, and agreed to these Terms of Service.
